Forming or restructuring a company is about more than picking an LLC or a corporation off a menu. It is about setting ownership, control, and governance so the structure holds up when money is at stake and people disagree. I help founders and owners choose and build the right entity, and I draft the documents that govern it: the operating agreement or bylaws, the founders’ terms, and the corporate formalities that keep the structure sound.
I have run businesses, so I set them up the way an owner would want them set up. I pay attention to the parts people skip when they are moving fast, such as how decisions get made, what happens when an owner leaves, and how the entity is kept clean enough to survive scrutiny later. Getting those right at the start costs far less than untangling them in a dispute.
